HÄTILÄ PARISH HALL – TERMS OF SALE

1. General

The seller reserves the right to accept or reject the highest bid.

The property is sold as a transfer between users. Huutokaupat.com is not a party to the sale.

Bidders agree that their contact details may be disclosed by Huutokaupat.com to the seller to enable the sales decision and related communication.

Offers must be submitted by the stated deadline. The highest bid is the one the seller has accepted as highest. By placing a bid the bidder accepts these terms of sale.

Final acceptance of the highest bid requires approval by the competent body under the administrative rules of the Parish Union of Hämeenlinna and a separate sales decision.

2. Inspection of the property

Before bidding, the bidder is obliged to inspect the property, the buildings, documents, planning regulations and other sales material.

The buyer may not subsequently rely on a matter that could have been discovered in a prior inspection or that is disclosed in the sales material.

The property is sold in the condition it is in at the time of sale.

3. Information provided by the seller

The Parish Union of Hämeenlinna certifies that it has provided the buyer with all material information in its knowledge that may be assumed to affect the transaction.

The seller is not liable for matters of which the seller had no knowledge and which could not reasonably have been discovered.

4. Conclusion of the sale

The sale of the property is made in the formal manner required by the Finnish Land Acquisition Act (540/1995).

The time and place for signing the contract will be agreed separately with the buyer.

The contract must be signed within 30 days of the decision approving the sale becoming final.

If the contract is not signed within the deadline for reasons attributable to the buyer, the seller's obligation to sell lapses and the seller is entitled to retain any paid deposit.

5. Deposit

The deposit is €20,000 (twenty thousand euros).

The deposit must be paid to the seller's designated bank account within three (3) days of acceptance of the highest bid.

The deposit will be credited against the purchase price. No interest is payable on the deposit.

If the sale is cancelled for reasons attributable to the buyer, the deposit will not be refunded.

6. Payment of the purchase price

The purchase price shall be paid to the seller's designated bank account within two (2) weeks of signing the contract, unless otherwise agreed.

If the payment is delayed, interest on late payment under the Interest Act (633/1982) is payable from the due date until the payment date. If the purchase price is not paid on the due date and still not paid within 14 days of the seller's written reminder, the seller is entitled to cancel the sale and retain the deposit as liquidated damages. The seller also has the right to claim from the buyer compensation for all losses resulting from the cancellation, including any difference in resale price, sales costs and the property's maintenance costs up to the cancellation. The buyer undertakes to sign a document concerning the cancellation when the conditions for cancellation are met and to pay the notary fee in the cancellation situation.

7. Other costs

The buyer is responsible for the transfer tax in accordance with applicable tax practice. The buyer is also responsible for the costs of registration of title and any bank charges.

8. Withdrawal from the sale and sanctions

If the bidder who submitted the highest binding bid makes an unfounded bid or withdraws from the sale without an acceptable reason, they must pay the seller a penalty of 20% of the auction price or at least €20,000 within three (3) days.

9. Limitation of liability

The property is sold as a whole. Partial offers are not accepted. Investigations and risks related to change of use, building permits or protection regulations are the buyer's responsibility.
