HUUTOKAUPAT.COM TERMS AND CONDITIONS

Please note that this is a translation of the Finnish language version of the Terms and Conditions of Huutokaupat.com. In case of any discrepancies between the Finnish version and this English version, the Finnish version shall prevail.

The Huutokaupat.com service ("Service") is provided by Mezzoforte Oy (business ID: 2004568-7) ("Service Provider"). The use of the Service and any transactions carried out on the Service are subject to these Huutokaupat.com Terms of Use ("Terms of Use") and other terms and agreements referred to in these Terms of Use.

By using the Service, the User (defined below) confirms that they have read and accept the Terms of Use and agree to comply with them when using the Service and when buying, listing or selling property on the Service. Service. If the User does not accept the Terms of Use of the Service, the User must discontinue use of the Service.

1. DEFINITIONS

"Groundless Notice" means a notice or complaint made through the notice system or complaint handling system provided by the Service Provider that is manifestly unfounded.

"Huutokaupat.com transaction" means a transaction in which the Service Provider purchases an Auction Item from the Auction Publisher and resells it to the Buyer.

"Auction" means an auction for which a listing is published on the Service and in which it is possible to participate both through the Service and physically on site.

"Auction Terms" means the auction terms and conditions applicable to the Service, as drawn up by the Service Provider and valid at any given time, which include the Auction Terms and Conditions for Huutokaupat.com Transactions and the Auction Terms and Conditions for Transactions Between Users.

"Auction Publisher" means a User registered with the Service who publishes an Auction Item or Other Listing on the Service.

"Auction Listing" refers to a page published on the Service containing information about the Auction Item.

"Prohibited Content" means Content that violates applicable regulations (laws, regulations, orders by authorities, and the like) or the Terms of Service.

"Auction Item" means the property that is the subject of the Auction that the User has published to be sold on the Service.

"Consumer Protection Act" means the Consumer Protection Act (20.1.1978/38, with its amendments).

"User" means a user registered with the Service, regardless of the role (e.g., Buyer or Auction Publisher) in which they act on the Service.

"User-to-user Transaction" means a transaction between the Auction Publisher and the Buyer concerning an Auction Item.

"Buyer" means the highest bidder registered with the Service for an Auction Item, or depending on the context, the bidder who has participated in the Auction for the Auction Item.

"Other Listing" means any other listing published on the Service, such as an advertisement or a listing concerning an auction not organized through the Service.

"Terms of Sale" means the Terms and Conditions of Sale applicable to the Service, as prepared by the Service Provider and valid at any given time.

"Terms of Service" means these Terms of Use, the Auction Terms and Conditions for Huutokaupat.com Transactions, the Auction Terms and Conditions for User-to-user Transactions, the Terms and Conditions of Sale, the Auction Publisher Terms for Companies, the Auction Publisher Terms for Consumers, the Auction Item Policy, Auction Publishing Policy, Cancellation Policy, and other terms and conditions applicable to the Service from time to time.

"Content" means any material that appears on the Service, including material uploaded by Users, such as Auction Items or User contact information.

"User ID" means the personal user ID and password specified by the User when registering.

2. REGISTRATION FOR THE SERVICE

Use of the Service requires successful registration.

When registering, the User must provide the information requested and other information required for the use of the Service. The User is responsible for the accuracy of the above information and is obliged to keep the information up to date and to notify the Service Provider of any changes to the information. The user must be of legal age and have full legal capacity. A legal entity may also be a user. A person acting on behalf of a legal entity must have the appropriate authorization to represent the legal entity.

The User may only have one (1) User ID and account in the Service, unless the Service Provider has specifically granted the User multiple User IDs or accounts.

3. RIGHT OF USE

The Service is protected by the proprietary and intellectual property rights of the Service Provider and third parties. The Service Provider grants the User a non-exclusive, limited, revocable right to use the Service in accordance with these Terms of Use. If the User is an Auction Publisher, the right of use also requires the payment of the Service Fees specified by the Service Provider from time to time. The User may act on behalf of a party participating in the Auction, provided that the User has the appropriate authorization and accepts that they are responsible for their actions on behalf of the party they represent. Acting on behalf of another party in the Service other than as described above is prohibited.

The User does not have the right to use, transfer, modify, forward or copy the Service or parts thereof or the Content of other Users other than as agreed in these Terms of Use.

4. NATURE OF THE TRANSACTION AND PARTIES

Two types of transactions are carried out on the Service: i) Huutokaupat.com transactions; and ii) User-to-user Transactions, in addition to which Other Listings are published on the Service.

The nature of the auction is specified in the Auction Listing or in the documents referred to therein (such as the Terms of Sale or Auction Terms), which specify whether the Auction is treated as a Huutokaupat.com transaction or a User-to-user Transaction. The determination of the auction may also be conditional, for example, in such a way that the Auction is treated as a User-to-user Transaction if the purchase price of the Auction Item exceeds a certain limit.

If the Auction is a Huutokaupat.com transaction, the transaction will take place in such a way that the Service Provider purchases the Auction Item from the Auction Publisher and sells it to the Buyer. If the transaction is a User-to-user Transaction, the Service Provider is not a party to the Auction and the Service Provider's role is limited to providing the Users with a Service through which the transaction can be conducted. Responsibility for the transaction lies with the parties to the transaction. The Service Provider accepts no responsibility for transactions that may be related to Other Listings.

5. TRANSACTIONS

The terms and conditions applicable to each Auction are set out in the Auction Listing and/or in the documents referred to therein (such as the Auction Terms and the Terms of Sale), provided that the Auction Terms and the Terms of Sale always apply to Huutokaupat.com transactions.

The price of the transaction, payment of the purchase price, and other characteristics and measures related to the transaction and the Auction Item are the responsibility of each transaction party in accordance with applicable law and agreements between Users (including any applicable Auction Terms and Terms of Sale).

6. USER OBLIGATIONS

The User undertakes to comply with these Terms of Use, the Rules, applicable laws, norms, and official regulations when using the Service. The User shall not use the Service in a manner contrary to good faith and morality. The User uses the Service at their own expense and responsibility.

The User shall not disclose their User IDs to third parties. The User shall immediately notify the Service Provider if their User ID has become known to an outside party. The User is responsible for the use of the Service with their User ID until the User has notified the Service Provider in writing (e.g. by email) that the User IDs should be closed. The User is also responsible for keeping their User ID up to date.

If the User is a legal entity, the User is responsible for the actions of all persons, or legal entities they are acting on behalf of in the Service, including but not limited to keeping the contact details of those entities up to date, removal or addition of publisher rights to their employees by notifying the Service Provider's customer service.

The User undertakes to use the Service in such a way that the User's actions do not hinder or interfere with the provision and maintenance of the Service. The User may be considered to be hindering the provision of the Service, for example, in a situation where the User does not respond within a reasonable time to the Service Provider's communications regarding an Auction Listing made by the User or a transaction made by the User. The User commits to publishing only Content that complies with laws, norms, and good practice. If the User stores Content protected by intellectual property rights or other rights in the Service, the User is responsible for ensuring that the User has the right to submit the Content to the Service and to grant the Service Provider the right to publish the Content in the Service.

The User shall make payments to the Service Provider in accordance with the provided payment instructions in a single installment (splitting payments is prohibited). The Service Provider reserves the right to request clarification of the origin of the funds (before accepting payment), especially if the payment is made from an account other than that of the User designated as the Buyer.

Bidding without the intention to purchase is prohibited.

If the Service Provider discloses another User's personal data to the User for the purpose of conducting an auction, the User who receives the personal data undertakes not to use the personal data for other purposes, e.g. direct marketing.

7. RIGHTS AND OBLIGATIONS OF THE SERVICE PROVIDER

The Service Provider shall make reasonable efforts to provide the Service 24/7. Interruptions in the use of the Service are possible due to, among other things, maintenance, a large number of users, technical malfunctions, or other reasons. The Service Provider shall endeavor to inform users of any interruptions in advance, but the Service Provider shall not be liable for any loss of data or interruption of the Service caused by such interruptions, or for any damage related thereto.

The Service Provider shall endeavor to provide a high-quality Service, but does not guarantee the accuracy, correctness, or reliability of the Service or the Content, nor does it accept any other responsibility for the Content.

The Service Provider reserves the right to modify and remove parts or features of the Service, add new parts or features, or discontinue the provision and maintenance of the Service in whole or in part.

All Auction Listings and Other Listings will be published on specified dates. However, if an Auction Listing or Other Listing cannot be published for technical or other operational reasons, or for reasons attributable to the User, the Service Provider shall not be liable for any damage caused by the omission of the Auction Listing or Other Listing.

The Service Provider has the right to moderate Auction Listings and change the end times of Auctions.

The Service Provider shall moderate the Content and endeavor to identify Prohibited Content and activity that violates the Terms of Service based on risk assessments, random checks, and notices made by visitors to the Service. The Service Provider may moderate Content even before it is published on the Service. The Service Provider performs moderation manually and does not use algorithmic decision-making for moderation. However, the Service Provider may use algorithmic tools to detect potential violations.

The Service Provider is not responsible for User-to-user Transactions or auctions related to Other Listings for the items or information provided (including information provided by users about the Auction Publisher or the owner of the item), nor for whether the Auction Publisher has the right to sell the item in accordance with the Auction Listing. The Service Provider is not responsible for any links to third-party websites that may be found on the Service.

The Service Provider always has the right to cancel or suspend an ongoing Auction, remove or refrain from publishing an Auction Listing or Other Listing on the Service, or invalidate a transaction in the event of a technical malfunction or for other justified reasons (e.g. the Auction Publisher's conduct is in violation of these Terms of Use). In such cases, the Service Provider shall not be liable to Users for any compensation or refund. The Service Provider also has the right to make or require Auction Publishers to make changes to Auction Listings, set rules for Users regarding the use of the Service, and provide Users with binding instructions regarding the use of the Service.

The User transfers to the Service Provider all current and future copyrights to the Content they submit to the Service (excluding contact details). The Service Provider may further transfer the aforementioned rights and change or modify the Content at its discretion, e.g. to prevent misuse of the Service and Auction Items. The User retains a parallel right of use to their Content that is independent of the Service Provider. The Service Provider may use the Content for purposes it deems appropriate, such as marketing the Service and individual Auction Items.

The use of the Service or related material and Listings as part of another service or otherwise outside the Service is prohibited without the express consent of the Service Provider, except for the use of the User's own Content referred to in the previous paragraph.

The Service Provider has the right to prevent a User from logging into the Service if the User uses the Service in violation of the Terms of Service, as well as for other justified reasons.

Labor disputes, fire, natural disasters, telecommunication disruptions, orders from authorities, or force majeure beyond the Service Provider's control shall release the Service Provider from its obligations under these Terms of Use for the duration of the impediment and for a reasonable period of time after the impediment has been removed, until the conditions for fulfilling the obligations can be restored.

The Service Provider may record customer calls for internal training purposes, among other things.

8. POLICY ON PREVENTING MISUSE AND ILLEGAL CONTENT

The Service Provider may suspend the use of the Service by Users who submit Prohibited Content to the Service or otherwise act in violation of the Terms of Service. If a User or other person repeatedly submits Groundless Notices, the Service Provider may suspend the processing of notices and complaints submitted by such persons. The Service Provider will give advance warning before taking the above measures, except in cases of particularly serious submission of Prohibited Content.

When considering the above measures and their duration, the Service Provider shall take into account, in particular, the number and relative proportion of Prohibited Content or Groundless Notices, the severity of the abuse, and the intent of the User who submitted the Prohibited Content or acted in violation of the Terms of Service, or the informant who made the Groundless Notice (if possible). For example, content that is clearly unrelated to trading through the Service, the sale of clearly illegal Auction Items, or the provision of obviously false information about an Auction Item are considered particularly serious violations that may even result in the closure of the User's account. Penalties for less serious violations or groundless notices are typically 1–6 months.

If the Service Provider moderates Prohibited Content, suspends the provision of the Service to the User, or otherwise takes action against the User on the basis of a violation, or if the Service Provider receives a report of Prohibited Content and the Service Provider considers that the content is in violation of the law or the Terms of Service and/or decides to restrict the processing of reports made by the informant (e.g. due to repeated Groundless Notices), the User or the informant has the right to appeal the decision to the Service Provider's internal complaint handling system within six (6) months of the Service Provider notifying the User or the informant of the decision.

The Service Provider shall review the decision on the basis of the appeal and notify the complaintant of the outcome of the review. However, the above right of appeal shall not apply if the Service Provider has decided to restrict the processing of complaints due to repeated Groundless Notices.

9. ADDITIONAL VISIBILITY AND ADVERTISEMENTS

The visibility of an Auction Listing can be improved with paid additional visibility on the front page of the Service.

10. LIMITATION OF LIABILITY

Unless otherwise required by mandatory law, the Service Provider shall not be liable or responsible for any: i) indirect or direct damages; or ii) costs or losses related to the Service or its use (including possible loss of data and the costs of recreating it), the Content appearing in the Service, or the purchase and sale of Auction Items.

Without limiting the foregoing, the Service Provider shall not be liable for any defect in any Auction Item sold by it (including, without limitation, liability for defects in its characteristics and/or delivery), except for defects that are considered defects under the Terms of Sale and that the Buyer has reported to the Service Provider in accordance with the Terms of Sale. The Service Provider accepts no liability for User-to-user Transactions or any transactions related to Other Listings.

Unless otherwise required by mandatory law: i) The Buyer's sole remedy for a defect in the Auction Item sold by the Service Provider is the right to cancel the transaction; ii) The Service Provider is not obliged to grant a price reduction or other compensation to the Buyer; iii) The Service Provider's liability shall in no circumstances exceed the amount paid by the Buyer to the Service Provider for the Auction Item in question (thus, the Service Provider shall not be liable for, e.g. transactions that have not been completed); and iv) The Service Provider is entitled to cancel the transaction between it and the Buyer if the fulfillment of the transaction would be more difficult than usual, for example because the party that has committed to delivering the Auction Item to the Service Provider is unable or unwilling to deliver the item to the Service Provider.

11. DATA PROTECTION

The Service Provider collects and processes Users' personal data in connection with the Service. The Service Provider's practices regarding the processing of personal data are described in the Service's Privacy policy. The User accepts that the privacy policy is part of the agreement relating to the use of the Service.

12. CHANGES TO THE TERMS OF USE

The Service Provider has the right to change these Terms of Use by notifying the User of the change by email or through the Service. The changes will take effect seven (7) days after the notification of the change. The User accepts the changes by continuing to use the Service.

13. VALIDITY AND TERMINATION

The agreement between the User and the Service Provider shall enter into force when the User accepts the Terms of Use and the Service Provider grants the User access to the Service. The agreement shall remain in force until further notice. Termination of the use of the Service shall not release the User from any responsibilities incurred during the use of the Service.

14. TRANSFER

The Service Provider has the right to transfer the Service (and the related Content, user data, and agreements) in whole or in part within its group or to a third party in connection with a corporate restructuring or outsourcing of its operations. The user does not have the right to transfer the right to use the Service granted to them or any other rights and obligations related to the Service. The right of use is personal.

15. INFORMATION IN ACCORDANCE WITH THE CONSUMER PROTECTION ACT

Huutokaupat.com is an auction service maintained by Mezzoforte Oy (business ID: 2004568-7). Mezzoforte's visiting and postal address is Porkkalankatu 20 C, 00180 Helsinki, Finland. Mezzoforte's telephone number and email address can be found on the customer service page.

The consumer has the right to refer a dispute between themselves and the trader to the Consumer Disputes Board. Further information is available on the Consumer Disputes Board website.

16. APPLICABLE LAW

These Terms of Use are governed by Finnish law. Any disputes arising from these Terms of Use shall be settled in the first instance by the Helsinki District Court.

The above terms and conditions are valid from June 13, 2025.

The Terms of Use have been updated as follows:

  • Added definitions: "Groundless Notice," "Prohibited Content," and "Terms of Service."
  • Added to Section 2 the user's obligation to keep their information up to date.
  • Section 6 specifies the circumstances in which the provision of the service may be impeded and payment practices, and adds a prohibition on users using other users' personal data for purposes other than the execution of a transaction.
  • A paragraph has been added to Section 7 concerning the moderation of the content of the service.
  • Sections 8 and 9 have been added in their entirety and the numbering of the subsequent sections has been changed.

The Huutokaupat.com service (the "Service") is provided by Mezzoforte Oy (business ID: 2004568-7) (the "Service Provider"). The use of the Service and the transactions carried out on the Service are subject to these Huutokaupat.com Terms of Use ("Terms of Use") and any other terms, conditions and agreements referred to in these Terms of Use.

By using the Service, the User (defined below) confirms that he/she has read, accepted and agreed to be bound by the Terms of Use when using the Service and when buying or selling property on the Service. If the User does not agree to the Terms of Use of the Service, the User must discontinue using the Service.

1. DEFINITIONS

"Groundless Notice" means a manifestly groundless notice or complaint made through a reporting channel or complaint handling procedure provided by the Service Provider.

"Auctions.com Transaction" means a transaction in which the Service Provider buys an Item from the Declarant and resells it to the Buyer.

"Auction" means an auction for which an announcement is published on the Service and in which it is possible to participate both through the Service and physically on site.

"Auction Terms" means the terms and conditions of the auction, including the Auction Terms for Huutokaupat.com Transactions and the Auction Terms for Auctions between Users , force from time to time, as established by the Service Provider.

"Declarant" means a User registered on the Service who declares an Item to be auctioned or publishes an Other Announcement.

"Advertisement" means an announcement published on the Service for the sale of an Item in the Auction.

"Prohibited Content" means Content that violates applicable laws, regulations, governmental regulations and the like, or the Terms of Service.

"Item" means the property advertised for sale by the User on the Service which is the subject of an Auction.

"Consumer Protection Act" means the Consumer Protection Act (20.1.1978/38, as amended).

"User" means a user registered on the Service, regardless of the role (e.g. Buyer or Declarer) in which he/she is acting on the Service.

"Transaction between Users" means a transaction between the Declarant and the Buyer in relation to the Item.

"Buyer" means the highest bidder registered on the Service for the Item or, depending on the context, the bidder who participated in the Auction of the Item.

"Other Announcement" means any other announcement published on the Service, such as an advertisement or announcement of an auction other than through the Service.

"Terms and Conditions of Sale" means the terms and conditions of sale applicable to the Service in force from time to time, as issued by the Service Provider.

"Terms of Service" means these Terms of Use, the Auction Terms for Auctions.com transactions, the Auction Terms for Auctions between Users, the Terms of Sale, the Business Advertiser's Advertiser's TermsIndividual Advertiser's Terms, the , the Object Rules, the Advertisement Rules and the Cancellation Rules and any other terms and conditions applicable to the Service from time to time.

"Content" means the material appearing on the Service from time to time uploaded by the User, for example, regarding the Site or the contact details of Users.

"Password" means the personal user name and password specified by the User at the time of registration.

2. REGISTERING FOR THE SERVICE

Access to the Service is subject to successful registration.

The User must provide the information requested at the time of registration and any other information required to use the Service. The User is responsible for the accuracy of the above information and is obliged to keep it up to date and to notify the Service Provider of any changes in the information. The User must be of legal age and of full legal capacity. The User may also be a legal entity. The person acting on behalf of the legal entity must have the appropriate authorisation to represent the legal entity.

A User may only have one (1) Account and Account on the Service, unless the Service Provider has specifically granted the User more than one Account or Account.

The Service is protected by proprietary and intellectual property rights of the Service Provider and third parties. The Service Provider grants the User a non-exclusive, limited, revocable right to use the Service in accordance with these Terms of Use. If the User is a Notifier, the right of use shall also be subject to the payment of the Service Fees determined by the Service Provider from time to time. The User may act on behalf of a party participating in the Auction, provided that the User is duly authorised to do so and provided that the User agrees that he/she is responsible for the actions taken on behalf of the party he/she represents. Acting on behalf of another party in the Service other than as set out above is prohibited.

The User shall not use, disclose, modify, transmit or copy the Service or any part thereof or the Content of other Users except as provided in these Terms of Use.

4. NATURE OF THE TRANSACTION AND PARTIES

There are two types of transactions on the Service: i) Auctions.com transactions; and ii) Transactions between Users, in addition to which Other Announcements are published on the Service.

The nature of the Auction will be indicated in the Notice or in the documents referred to therein (such as the Terms of Sale or the Auction Conditions), which will specify whether the Auction will be treated as an Auctions.com Transaction or as an Inter-User Transaction. The definition of an Auction may also be conditional, for example, that the Auction will be treated as a Transaction Between Users if the purchase price of the Item exceeds a certain threshold.

If the Auction is an Auctions.com transaction, the transaction will be conducted in such a way that the Service Provider buys the Item from the Declarant and resells it to the Buyer. In the case of a User-to-User Trade, the Service Provider is not a party to the Auction and Service Provider's role is limited to providing the Service to Users to enable the trade to take place. The responsibility for the transaction rests with the parties to each transaction. The Service Provider does not accept any liability for any transactions that may be made in connection with other Announcements.

The terms and conditions applicable to each Auction are set out in the relevant Auction Notice and/or the documents referred to therein (such as the Auction Terms and Conditions and the Conditions of Sale), provided that the Auction Terms and Conditions and the Conditions of Sale shall always apply to Auctions.com transactions.

The price of the transaction, payment of the purchase price and other features and actions relating to the transaction and the Object are the responsibility of each party to the transaction in accordance with applicable law and the agreements between the Users (including any applicable Auction Terms and Conditions of Sale).

6. OBLIGATIONS OF THE USER

The User undertakes to comply with these Terms of Use, the Rules, applicable laws, standards and government regulations when using the Service. The User shall not use the Service in a manner contrary to good faith. The User shall use the Service at his/her own expense and risk.

The User shall not disclose its Identifiers to third parties. The User shall immediately notify the Service Provider if his/her Identifiers are disclosed to a third party. The User shall be responsible for the use of the Service under his/her Accounts until the User has notified the Service Provider in writing (e.g. by e-mail) that the Accounts must be closed. The User shall also be responsible for keeping his/her Account up to date.

If the User is a legal entity, the User shall be responsible for the activities of all persons or legal entities acting on behalf of such legal entity in the Service and for keeping the contact details of such entities up to date, including the deletion or addition of any notification rights granted to its employees, by notifying the Service Provider's customer service.

The User undertakes to use the Service in such a way that the User's actions do not impede or hinder the provision and maintenance of the Service. The User may be deemed to impede the provision of the Service, for example, if the User does not respond within a reasonable period of time to the Service Provider's communications in connection with a notification made by the User or a transaction made by the User.The User undertakes to store in the Service only Content that complies with laws, standards and good practice. If the User uploads Content to the Service that is protected by intellectual property or other rights, the User is responsible for ensuring that the User has the right to upload the Content to the Service and grants the Service Provider the right to publish the Content on the Service.

The User shall make payments to the Service Provider in a single payment in accordance with the payment instructions provided (splitting of payments is prohibited). The Service Provider reserves the right to request clarification of the origin of funds (before accepting payment), in particular if payment is made from an account of a person other than the User registered as a Buyer.

Bidding without a purchase commitment is prohibited.

If the Service Provider provides the User with personal data of another User for the purpose of conducting an auction, the User who has received the personal data undertakes not to use the personal data for any other purpose, such as direct marketing.

7. RIGHTS AND OBLIGATIONS OF THE SERVICE PROVIDER

The Service Provider shall use reasonable efforts to provide the Service 24/7. Interruptions in the Service may occur due to, among other things, maintenance, high volume of users, technical failure or other reasons. The Service Provider will endeavour to provide advance notice of any outages, but the Service Provider shall not be liable for any loss of data or interruption of the Service or any damages resulting from such outages.

The Service Provider endeavours to provide a high quality Service, but does not guarantee the accuracy, correctness or reliability of the Service or the Content, and does not accept any other liability for the Content.

The Service Provider reserves the right to modify, remove or add portions or functionality to the Service, or to discontinue providing and maintaining the Service in whole or in part.

All Announcements and Other Announcements will endeavour to be published on the dates specified. However, if a Notification and Other Notification cannot be published for technical or other operational reasons or for reasons attributable to the User, the Service Provider shall not be liable for any damage caused by the non-availability of the Notification or Other Notification.

The Service Provider reserves the right to moderate the Notices and to change the closing times of the Auctions.

The Service Provider will moderate the Content and will seek to identify Prohibited Content and activities that violate the Terms of Service based on risk assessments, random audits and whistleblowing by visitors to the Service. The Service Provider may moderate Content prior to its publication on the Service. The Service Provider performs moderation manually and does not use algorithmic decision making for moderation. However, the Service Provider may use algorithmic tools to detect possible violations.

The Service Provider is not responsible for the items or information provided in any User-toUser Transactions or any other auctions related to the Notices (including any information provided by Users about the Notifier or the owner of the item), or whether the Notifier has the right to sell the item in the Notice. The Service Provider is not responsible for any links on the Service to websites operated by third parties.

The Service Provider shall always have the right to cancel or suspend an ongoing Auction, to remove or not to publish an Entry or other Entry published on the Service, or to void a transaction in the event of technical failure or for any other justifiable reason (including, without limitation, any breach by the Declarant of these Terms of Use). The Service Provider shall have no obligation to compensate or reimburse Users in such cases. The Service Provider shall also have the right to make or require Notifiers to make changes to the Notifications, to impose rules on Users in relation to the use of the Service and to issue binding instructions to Users in relation to the use of the Service.

The User assigns to the Service Provider all present and future copyrights to the Content (excluding contact information) submitted to the Service. The Service Provider may sub-license the rights referred to above and may modify or edit the Content at its discretion, e.g. to prevent misuse of the Service and the Items. The User retains a parallel right of use to his Content, independent of the Service Provider. The Service Provider may use the Content for any purpose it deems appropriate, such as marketing the Service and individual Items.

The use of the Service or related material and Notices as part of another service or otherwise outside the Service is prohibited without the express consent of the Service Provider, except for the use of the User's own Content as referred to in the previous paragraph.

The Service Provider has the right to block the User's access to the Service if the User uses the Service in violation of the Terms of Service, as well as for any other justified reason.

Industrial dispute, fire, natural disaster, telecommunication failure, public authority order or force majeure beyond the control of the Service Provider shall relieve the Service Provider from the obligations of these Terms of Use for the duration of the impediment and for a reasonable period of time after the impediment is removed, until the conditions for the fulfilment of the obligations can be restored.

The Service Provider may record customer calls, for example for internal training purposes.

8. POLICY ON PREVENTION OF ABUSE AND ILLEGAL CONTENT

The Service Provider may suspend the use of the Service by Users who submit Prohibited Content to the Service or otherwise act in violation of the Terms of Service. If a User or other person repeatedly makes Inappropriate Disclosures, the Service Provider may suspend the processing of such disclosures and complaints by such persons. The Service Provider will give prior warning before taking such action, except in the case of particularly serious submission of Prohibited Content.

In considering the above actions and their duration, the Service Provider shall take into account, in particular, the number and relative proportion of the Prohibited Content or Obscene Disclosures, the seriousness of the abuse and the intent (if any) of the User who provided the Prohibited Content or acted in violation of the Terms of Service or of the person who made the Obscene Disclosure. For example, Content that is clearly unrelated to trading through the Service, selling clearly illegal Items, or providing patently false information about an Item will be considered particularly serious violations, which may even result in the User's account being closed. Sanctions for minor infringements or Undue Disclosures are typically between 1 and 6 months.

If the Service Provider moderates the Prohibited Content, suspends the Service to the User or otherwise takes action against the User for the violation, or if the Service Provider is notified of the Prohibited Content, and the Service Provider believes that the User is in violation of the Prohibited Content, that the Content is not in violation of the law or the Terms of Service and/or decides to limit the reporting party's handling of the reporting party's reports (for example, due to repeated Inappropriate Reports), the User or the reporting party shall have the right to appeal the decision to the Service Provider's internal grievance procedure for a period of six (6) months after the Service Provider has notified the User or the reporting party of the decision.

The Service Provider shall review the decision on the basis of the complaint and inform the complainant of the result of the review. However, the above right of appeal shall not apply if the Service Provider has decided to limit the handling of complaints due to repeated Unreported Disclosures.

9. ADDITIONAL VISIBILITY AND ADVERTISEMENTS PURCHASED

The visibility of the Notice may be enhanced by additional paid visibility on the Service's home page.

10. LIMITATION OF LIABILITY

Except as otherwise required by mandatory law, the Service Provider shall not be liable or responsible for any: i) indirect or consequential damages; or ii) costs or losses related to the Service or its use (including any loss of data and the cost of recreating it), the Content appearing on the Service or the purchase and sale of Items.

Without limiting the foregoing, the Service Provider shall not be liable for any defect (including, without limitation, liability for defects relating to the characteristics and/or delivery of the Items sold by it), except for defects that are considered defects under the Terms of Sale and for which the Buyer has complained to the Service Provider in accordance with the Terms of Sale. The Service Provider does not accept any liability in relation to Transactions between Users or any other Transactions relating to the Advertisements.

Except as otherwise required by mandatory law: i) the Buyer's sole remedy for any defect in the Service Provider or the Object sold by the Service Provider shall be the right to rescind the transaction; ii) the Service Provider shall not be obliged to grant any price reduction or other compensation to the Buyer; (iii) in no circumstances shall the liability of the Provider exceed the amount paid by the Buyer to the Provider for the defective Item (thus, for example, the Provider shall not be liable for unperformed transactions); and (iv) the Provider shall be entitled to terminate the transaction between it and the Buyer if it would be more difficult than usual to perform the transaction, e.g. if the party committed to deliver the Item to the Provider is unable or unwilling to deliver the Item to the Provider.

11.

The Service Provider collects and processes Users' personal data in connection with the Service. The Service Provider's personal data processing practices are described in the Service's Privacy Policy. The User agrees that the Privacy Policy is part of the contractual package related to the use of the Service.

12. MODIFICATION OF THE TERMS OF USE

The Service Provider has the right to change these Terms of Use by notifying the User of the change by e-mail or via the Service. The changes shall take effect seven (7) days after the notification of the change. The User accepts the changes by continuing to use the Service.

13. VALIDITY AND TERMINATION

The agreement between the User and the Service Provider shall enter into force upon the User's acceptance of the Terms of Use and upon the Service Provider's granting the User access to the Service. The agreement is valid until further notice. The User shall not be discharged from any liability incurred by him/her during the use of the Service upon termination of the Service.

14. TRANSFER

The Service Provider shall be entitled to transfer the Service (and the related Content, user data and contracts) in whole or in part within its group of companies and to third parties in the event of a company reorganisation or outsourcing of its activities. The User shall not be entitled to transfer the right to use the Service granted to it or any of its other rights and obligations in relation to the Service. The right of use is personal.

15. INFORMATION IN ACCORDANCE WITH CONSUMER PROTECTION LAW

Huutokaupat.com is an auction service operated by Mezzoforte Oy (Business ID: 2004568-7). Mezzoforte's visiting and postal address is Porkkalankatu 20 C, 00180 Helsinki, Finland. Mezzoforte's telephone number and e-mail address can be found on the customer service website.

16. APPLICABLE LAW

These Terms of Use are governed by Finnish law. Disputes relating to the Terms of Use shall be settled in the first instance by the Helsinki District Court.

The above Terms of Use are valid from 13.6.2025.

The Terms of Use have been updated as follows:

  • Added definitions of "Unwarranted Disclosure", "Prohibited Content" and "Terms of Service".
  • Added in section 2 the obligation for the user to keep his/her data up to date.
  • In section 6, clarified the impediments to the provision of the service, the payment practices and added a prohibition for users to use other users' personal data for purposes other than the execution of a transaction.
  • In paragraph 7, a paragraph has been added concerning the moderation of the content of the service.
  • Paragraphs 8 and 9 have been added in their entirety and the numbering of the following paragraphs has been changed.

The Huutokaupat.com service (“Service”) is provided by Mezzoforte Oy (Business ID: 2004568-7) (“Service Provider”). These terms and conditions (“Terms and Conditions”) of Huutokaupat.com and the other terms and agreements referred to in these Terms and Conditions apply to the use of the Service and the transactions carried out in the Service.

By using the Service, the User (defined below) confirms that they have reviewed the Terms and conditions, accept them, and undertake to comply with them while using the Service or buying or selling items in the Service. If a User does not accept the Terms and Conditions of the Service, the User must cease using the Service.

1. DEFINITIONS

“Huutokaupat.com Transaction” refers to a transaction where the Service provider purchases an Item from a Seller and re-sells it to a Buyer.

“Auction” refers to an auction with a related listing that is published in the Service and which can be participated in through the Service or physically.

“Auction Terms” refer to the terms and conditions prepared by the Service provider that are applied to auctions within the Service at each time. These terms and conditions are available here and here.

“Seller” refers to a registered User of the Service who lists an Item for auctioning or publishes an Other Listing.

“Listing” refers to a notice of an Item listed for sale in an Auction published in the Service.

“Item” refers to a piece of property listed for sale in an Auction by a User in the Service.

“Consumer Protection Act” refers to the Finnish Consumer Protection Act (20.1.1978/38, as amended).

“User” refers to a registered user of the Service regardless of their role (such as a Buyer or Seller) in the Service.

“Transaction Between Users” refers to a commercial transaction between a Seller and a Buyer pertaining to an Item.

“Buyer” refers to a registered user of the Service who is the highest bidder for an Item or, depending on the context, has made an offer in an Auction for an Item.

“Other Listing” refers to any other listings published in the Service, such as ads or notices pertaining to an auction that is arranged outside of the Service.

“Sales Terms” refer to the terms and conditions prepared by the Service provider that are applied to the Service at each time. These terms and conditions are available here.

“Contents” refer to any materials appearing in the Service that has been uploaded by a User and pertains to an Item or the contact information of Users, for example.

“User ID” refers to the personal username and password specified by the User during registration.

2. REGISTRATION FOR THE SERVICE

Use of the Service is subject to the successful completion of the registration process.

The User must provide the information requested during registration, and the provided information must be accurate and up to date at each time. The User must be a legally competent person of age. The User may also be a legal person. A person acting on behalf of a legal person must be appropriately authorized to represent the legal person.

The User may only have one (1) User ID and account in the Service, unless the Service provider has specifically granted said user more than one User ID or account.

3. ACCESS

The Service is protected by the proprietary and immaterial rights of the Service provider and third parties. The Service provider grant the User non-exclusive, limited, and withdrawable right to access the Service in accordance with these Terms and conditions. If the User is acting in the role of a Seller, access is also subject to the payment of the Service Charges specified by the Service provider at each time. The User may act on behalf of a party participating in an Auction if the User is appropriately authorized to do so and if the User accepts that they are responsible for the actions they carry out on behalf of the party they are representing. Any activity on behalf of other parties in the Service other than those referred to above is prohibited.

The User shall have no right to use, disclose, modify, relay, or copy the Service or any part of it or the Contents of other Users other than to the extend concluded in these Terms and Conditions.

4. NATURE OF TRANSACTION AND PARTIES

The Service is used to conclude two types of transaction: i) Huutokaupat.com transactions; and ii) Transactions Between Users, in addition to which the Service is also used to publish Other Listings.

The nature of an auction is indicated by the Listing or the documents referred to in the Listing (such as the Sales Terms or Auction Terms), which specify whether the Auction is considered a Huutokaupat.com transaction or a Transaction Between Users. The specification of auction type may also be conditional such that an Auction is considered a Transaction Between Users if the purchase price of the Item exceeds a certain limit, for example.

If an Auction is considered a Huutokaupat.com transaction, the transaction is concluded such that the Service Provider purchases the Item from the Seller and re-sells it to the Buyer. If an auction is considered a Transaction Between Users, the Service Provider is not a party to the Auction and the Service Provider's role is limited to providing the Service that enables the Users to engage in a commercial transaction. The responsibility of the transaction lies with both parties. The Service Provider accepts no responsibility of transactions that may be related to Other Listings.

5. CONCLUSION OF TRANSACTIONS

The terms applied to each Auction are indicated by the listing pertaining to the Auction in question and/or the documents referred to in the listing (such as Auction Terms and Sales Terms), but it should be noted that Huutokaupat.com transactions are always subject to the Auction Terms and Sales Terms.

The purchase price, payment of the purchase, and any other characteristics and measures pertaining to the transaction and the Item are the responsibility of both parties to the transaction in accordance with the applicable legislation and the agreements concluded between the Users (incl. the Auction Terms where applicable).

6. OBLIGATIONS OF THE USER

The User undertakes to comply with these Terms and Conditions, Rules, existing laws, regulations, standards, and directives issued by authorities while using the Service. The User may not use the Service contrary to accepted principles of morality. The User uses the Service at their own expense and risk.

The User may not disclose their User ID to third parties. The User must immediately notify the Service Provider if their User ID is disclosed to a third party. The User is responsible for any use of the Service under their User ID until the User has given a written notice (by email, for example) to the Service Provider that their User ID should be disabled. The User is also responsible for ensuring that their User ID remains up to date.

In the event that the User is a legal person, the User is responsible for the activities of any persons or legal persons acting on behalf of the legal person in question within the service and the up-to-dateness of the contact information of the parties in question, including the removal or addition of listing access granted to its employees by notifying the customer service of the Service Provider.

The User undertakes to use the Service such that the activities of the User do not impede or impair the provision and maintenance of the Service. The User undertakes to only upload Contents that are compliant with laws, standards, and accepted principles of morality into the Service. If a User uploads Contents that is protected by immaterial rights or other rights into the Service, the User is responsible for ensuring that the User has the right to upload the Contents to the Service and grants the Service Provider the right to publish the Contents in the Service.

Bidding on items without intent to purchase is prohibited.

7. RIGHTS AND OBLIGATIONS OF THE SERVICE PROVIDER

The Service Provider shall make all reasonable efforts to ensure the 24/7 availability of the Service. Service interruptions may occur due to maintenance, large user volume, technical disruptions, or other reasons. The Service Provider shall aim to provide information of any interruption in advance, but the Service Provider is not responsible for any loss of data due to downtime or Service interruptions or related damage.

The Service Provider shall aim to provide a high-quality Service but cannot guarantee the faultlessness, accuracy, or reliability of the Service or Contents and does not accept any other responsibility for the Contents.

The Service Provider shall have the right to modify and remove components or functionalities from the Service and to add them, or to cease providing and maintaining the Service in part or in full.

The aim is to publish all Listings and Other Listings on the specified dates. If, however, a Listing or Other Listing cannot be published for technical or other functional reasons or reasons arising from the User, the Service Provider shall not be responsible for any damage potentially caused by the unavailability of the Listing or Other Listing.

The Service Provider shall have the right to moderate Listings and to change the closing times of Auctions.

With regard to Transactions Between Users or possible auctions pertaining to Other Listings, the Service Provider shall not be responsible for the listed items or the provided information (incl. the information pertaining to the Seller or the owner of the item provided by Users), or whether the Seller has the right to sell the item in accordance with the Listing. The Service Provider is not responsible for any links to websites maintained by third parties that may appear in the Service.

The Service Provider shall always have the right to cancel or suspend an active Auction, to remove or to refrain from publishing a Listing or Other Listing published in the Service, or to void a transaction in the event of a technical error or for another legitimate reason (such as, without restriction, a Seller's actions in breach of these Terms and Conditions). In this case, the Service Provider shall not be obligated to reimburse or compensate the Users. The Service Provider shall also have the right to change or demand the Sellers to change Listings, specify rules pertaining to the use of the Service for Users, and to issue binding instructions pertaining to the use of the Service to the Users.

The User assigns all existing and future copyrights to the Contents (excl. contact information) they upload to the Service to the Service Provider. The Service Provider may assign the rights referred to above further and to change or modify the Contents at their discretion to prevent abuse concerning the Service or the Items, for example. The User shall retain a parallel right to use their Contents that is independent of the Service Provider. The Service Provider may use the Contents as it sees fit for purposes such as marketing the service or individual Items.

Use of the Service or the related materials and Listings as part of another service or otherwise outside of the Service is prohibited without the express consent of the Service Provider, excluding the use of personal Contents by a User referred to in the previous paragraph.

The Service Provider shall have the right to prevent a User from logging in to the service if the User is using the Service in breach of these Terms and Conditions as well as for another legitimate reason.

Industrial action, fire, natural disaster, data communications disruption, order by an official, or a force majeure event beyond the control of the Service Provider shall release the Service Provider from compliance with the requirements provided by these Terms and Conditions for the duration of the impediment and for a reasonable time period following the removal of the impediment until the conditions for compliance with the requirements can be restored.

The Service Provider may record customer service calls, inter alia, for internal training purposes.

8. LIMITATION OF LIABILITY

Subject to mandatory legislation, the Service Provider shall not be responsible or liable to compensate for any: i) direct or indirect damage; or ii) expenses or losses pertaining to the Service or its use (including the potential loss of data and the cost of re-creating data), Contents appearing in the Service, or the sales and purchase of Items.

Without prejudice to the foregoing, the Service Provider shall not be responsible for any defect pertaining to an Item it has sold (including, but not limited to, the liability for defects pertaining to its features and/or delivery), excluding any such defects that are considered a defect in accordance with the Sales Terms and regarding which the Buyer has submitted a complaint to the Service Provider in accordance with the Sales Terms. The Service Provider shall not accept any responsibility concerning Transactions Between Users or any transactions pertaining to Other Listings.

Subject to mandatory legislation: i) the only legal remedy available to the Buyer in the event of non-conformity of the Service Provider or the Item sold by the Service Provider is to cancel the contract of sale; ii) the Service Provider is not obligated to offer a price reduction or any other form of compensation to the User; iii) the liability of the Service Provider cannot in any eventuality exceed the amount paid by the Buyer to the Service Provider for the Item that is the subject of the non-conformity (therefore, the Service Provider is not responsible for unrealized transactions, for example); and iv) the Service Provider is entitled to cancel the contract of sale between the Service Provider and the Buyer if the conclusion of the sale would be unusually difficult because, for example, the party that undertook to provide the Item to the Service Provider is unable or unwilling to provide said Item to the Service Provider.

9. DATA PROTECTION

The Service Provider collects and processes the User's personal data in the context of the Service. The policies pertaining to the processing of personal data by the Service Provider are described in the privacy statement of the Service that is available here. The User accepts that the privacy policy forms a part of the agreement as a whole pertaining to the use of the Service.

10. CHANGES TO THE TERMS AND CONDITIONS

The Service Provider shall have the right to change these Terms and Conditions by notifying the User of the change by email or through the Service. The Changes shall come into effect seven (7) days after the provision of the change notification. The User accepts the changes by continuing to use the Service.

11. VALIDITY AND EXPIRY

The agreement between the User and the Service Provider comes into effect as the User accepts the Terms and Conditions and the Service Provider grants the User access to the Service. The agreement remains valid until further notice. The User shall not be relieved of their obligations incurred during their use of the Service by ceasing to use the Service.

12. TRANSFER

The Service Provider shall have the right to transfer the Service (and the related Contents, user information, and agreements) in full or in part within its group or to a third party in the context of a corporate transaction or outsourcing of its activities. The User shall have no right to transfer the right to access the Service granted to them or any rights and obligations pertaining to the Service. The right to access the Service is personal.

13. INFORMATION REQUIRED BY THE CONSUMER PROTECTION ACT

14. GOVERNING LAW

These Terms and Conditions are governed by Finnish law. Any disputes arising from these Terms and Conditions shall be resolved by the District Court of Helsinki as the court of first instance.
