  Transfer of a share held in the book-entry system

  The transfer of a share held in the book-entry system proceeds as follows:

  1. The parties make the transaction between themselves using the company's shares or the transfer is based on another form of acquisition.
  2. The transferee (buyer) notifies Taksi Helsinki Oy's board of the transaction by submitting the deed of sale to Taksi Helsinki Oy.
  3. The parties submit the deed of sale to the transferor's (seller's) book-entry account operator to transfer the shares from the transferor's (seller's) account to the transferee's (buyer's) account.
  4. The shares are transferred to the transferee's (buyer's) account in the book-entry system.
  5. The shares are recorded on a separate waiting list pending Taksi Helsinki Oy's board's decision to approve the transfer.
  6. Taksi Helsinki Oy notifies Euroclear and the parties whether it approves the transfer.
  7. Euroclear moves the board-approved shares from the waiting list to the shareholders' register, after which the shares carry all rights related to Taksi Helsinki Oy shares.

  
  Right of redemption (Section 6 of Taksi Helsinki Oy's Articles of Association)

  When a company share is transferred to an external owner, the company's board must inform the shareholders entitled to redeem the share of the transfer by posting a notice of the transfer on the company's premises' noticeboard.

  The right of redemption belongs to those shareholders who owned a share of the same series as the share to be redeemed at the time ownership was transferred.

  A claim for redemption must be submitted to the company's board within one (1) month from the date the transfer was notified to the company's board.

The sale will take place in Vantaa at the seller's premises, and the taxi equipment associated with taxi 515 will be transferred to the buyer's possession.
