Material information affecting the sale value

Attached is an extract from the Trade Register showing the company’s registered line of business and other details. The company is registered for withholding tax and is liable for value added tax on its business activities. No company mortgage encumbers the company’s assets. A certificate of encumbrances is attached.

The company’s equipment consists at least of the vehicles listed in the attachment “Kalusto Artmagon Oy 24 November 2025”. The registered vehicles have a transfer prohibition recorded in the vehicle information system, preventing their transfer out of the company’s ownership. The enforcement authority has no certainty about other equipment, its condition or its location. The equipment is used in the company’s day-to-day operations.

Artmagon Oy is a tenant of plot 564-401-268-11-L3 owned by the City of Oulu. The lease runs until 31 December 2055. Address: Tuppitie 8, 90820 Oulu. The lease right is encumbered by a mortgage dated 10 June 2021, electronic mortgage deed, mortgagee City of Oulu, amount €12,500. There is a hall building on the site. According to the company representative, construction waste appears to have been buried on the plot and was revealed during excavation works. The City of Oulu has no record of waste buried in the ground. Under section 73 of the current Waste Act the polluter must remove the polluting object or substance and otherwise clean the polluted area. Under section 75 the municipal environmental protection authority may order the party responsible to fulfil the cleaning obligation. The company has stored vehicles on the plot that could have leaked oil into the soil. The enforcement authority has not verified these observations. The real estate register contains an entry preventing the lease right from being transferred out of the company’s ownership.

The hall building is, according to the company representative, almost fit for demolition. The hall has an air-source heat pump for heating. The floor is a concrete slab, but there is no water or sewer connection. The front wall with the door has been renewed, but the external cladding otherwise needs replacement.

According to the company representative the company has no pending disputes in any court (status 15 February 2025). The enforcement authority checked the Oulu and Helsinki District Courts on 6 November 2025 and found no pending civil or criminal cases. The company representative states there are warranty liabilities arising from contracts. According to information available to enforcement, there are no written contracts or warranty terms for the contracts. Enforcement has no information on the company’s future contracts.

According to tax authority records the company is not subject to a tax audit and has no missing filings or outstanding taxes or payments (information 3 November 2025). There are no pending enforcement matters and the company has not been petitioned into bankruptcy or corporate restructuring (information 3 November 2025).

The company’s articles of association are attached. Clause 8 contains a pre-emption clause. Unless the articles of association provide otherwise, pre-emption follows the provisions of section 7, chapter 3 of the Companies Act. The buyer is obliged to make the necessary notifications of the share transfer. Share ownership is recorded in the shareholder register to two private individuals holding 60% and 40% of the shares. No printed share certificates exist.

The company’s entire share capital is attached to enforcement and a disposal prohibition under section 38, chapter 4 of the Enforcement Code has been imposed.

The assets are sold by a free sale conducted by the enforcement officer, observing where applicable the general auction terms set out in the Enforcement Code. The sales brochure is indicative and is not a comprehensive description of the lot.
